Commercial terms for SEO, web design, hosting and domain services
1. Scope
These terms apply to contracts between SEO Proceed and its customers for SEO, web design, hosting, domain management and related digital services.
2. Services
The specific scope of services is defined in the individual offer or agreement. SEO Proceed does not owe a specific ranking, traffic volume or business outcome unless explicitly agreed in writing.
3. SEO services
- SEO services are billed monthly in advance.
- Either party may terminate ongoing SEO services with 1 month notice to the end of a month.
- We do not guarantee fixed positions in search engines. We do guarantee professional optimization, implementation and continuous improvement according to current SEO standards.
4. Web design projects
- Web design projects are invoiced 50% in advance at project start and 50% upon completion before final handover.
- Final files, full access or transfer of the completed website may be withheld until full payment has been received.
- Delays caused by missing content, approvals or access data from the client extend deadlines accordingly.
5. Hosting and domains
- Hosting and domain services are billed in advance for the agreed term.
- They renew automatically for the same agreed term unless cancelled with 1 month notice before renewal.
- Domains are generally registered in the customer’s name, subject to the rules of the relevant registry and registrar.
6. Client obligations
The client must provide all necessary content, approvals, access credentials and legal information in time. The client remains responsible for the legality of all supplied materials.
7. Payment and default
Invoices are payable within 14 days unless otherwise agreed. In the event of late payment, SEO Proceed may suspend services after prior notice. Hosting access or technical work may also be paused until outstanding balances are cleared.
8. Rights of use
Usage rights to created work transfer only after full payment, unless a different written agreement applies. Drafts, concepts and unpaid work remain the property of SEO Proceed.
9. Liability
SEO Proceed is liable without limitation only for intent and gross negligence and where liability cannot be excluded by law. We are not liable for indirect damages, lost profits, ranking changes caused by platform updates, or third-party service interruptions beyond our control.
10. Final provisions
Spanish law applies to the extent legally permissible. Should any provision be invalid, the remainder of the agreement remains unaffected.
